1. Agreement to Terms

By accessing or using Egenxy's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.

2. Services Description

Egenxy provides AI-powered business automation services, including but not limited to:

  • Website development and optimization
  • AI automation systems and chatbots
  • Brand identity and visual design
  • Consultation and strategy services
  • Workflow automation and integrations

3. Pricing and Payment

Pricing: All prices are listed on our website and are subject to change with 30 days notice for new clients only. Existing project pricing remains fixed for the duration of the engagement.

Payment Terms:

  • Website projects: 50% deposit to begin, 50% upon completion before delivery.
  • Automation projects: First month paid upfront for SaaS subscriptions; one-time setup fees paid 50/50.
  • Brand identity: 50% deposit to begin, 50% upon approval of final designs.
  • Consultation: Payment required at time of booking or invoice.

Accepted Payment Methods: Bank transfer, credit card (via Stripe), PayPal, and cryptocurrency (USDC on specific networks).

4. Refund Policy

Our refund policy varies by service:

  • Website projects: Full refund available within 7 days of project start. After work has commenced, refunds are prorated based on work completed.
  • Automation subscriptions: Cancel anytime. No refunds for partial months. 30-day notice required for cancellation.
  • Brand identity: 50% refund if cancelled before first design concepts. No refunds after design approval.
  • Consultation calls: Full refund if cancelled with 24+ hours notice. No refund for no-shows or late cancellations.

100% Satisfaction Guarantee: If you are not satisfied with the final deliverable, we will work with you until you are satisfied, or provide a full refund within the first 30 days after delivery.

5. Project Timelines and Deliverables

Standard Timelines:

  • Website projects: 7-14 days from kickoff
  • Automation setup: 3-7 days from kickoff
  • Brand identity: 14-21 days from kickoff

Client Responsibilities: Timelines assume prompt client feedback (within 48 hours of review requests). Delays in client feedback may extend timelines proportionally.

Revision Rounds: Each package includes a specified number of revision rounds. Additional revisions are available at $150/hour or as specified in your proposal.

6. Intellectual Property

Ownership Transfer: Upon final payment, you receive full ownership rights to:

  • Website code, designs, and content
  • Brand assets (logos, guidelines, files)
  • Automation workflow configurations
  • Chatbot conversation flows and training data

Our Rights: We retain the right to:

  • Display work in our portfolio (unless you request an NDA)
  • Use anonymized metrics and results in case studies
  • Reuse general code patterns and frameworks across projects

7. Confidentiality and NDA

We treat all client information as confidential. Upon request, we will sign a mutual Non-Disclosure Agreement (NDA) before discussing sensitive business details. Our standard NDA template is available upon request.

8. Limitations of Liability

Egenxy's liability shall be limited to the amount paid for the specific service in question. We are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits or revenue
  • Data loss (clients are responsible for their own backups)
  • Third-party service failures (hosting, APIs, integrations)
  • Force majeure events beyond our control

9. Warranty and Support

Warranty Period: All work includes a 30-day warranty covering bugs, errors, and functionality issues. After the warranty period, support is available through maintenance packages or hourly billing.

Support Scope: Warranty covers issues caused by our work. It does not cover:

  • Changes made by client or third parties
  • Third-party service changes or deprecations
  • Issues caused by client-provided content or assets
  • Training and general how-to questions

10. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination:

  • Client receives all work completed and paid for
  • Outstanding invoices become immediately due
  • Recurring subscriptions stop at end of current billing period
  • Access to managed services may be revoked

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions. Any disputes shall be resolved through good faith negotiation, and if necessary, binding arbitration in Hanoi, Vietnam.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services constitutes acceptance of the revised terms.
